Polish medical-technology company Medicalgorithmics has signed a letter of intent with an unidentified American healthcare business listed on Nasdaq, outlining a potential takeover valued at no less than $67 million (approximately PLN 261 million).

The Warsaw-listed company announced on Monday, 19 October, that it had signed the preliminary agreement two days earlier, opening negotiations over a transaction that could involve the acquisition of all outstanding Medicalgorithmics shares.

Under the proposed arrangement, shareholders would receive consideration principally in shares of the American buyer rather than cash.

The letter also envisages Medicalgorithmics securing at least €10 million (approximately PLN 43.7 million) in additional equity financing before or alongside the signing of a definitive acquisition agreement.

However, the agreement is largely non-binding. The parties have not committed to completing a takeover, and the American buyer’s identity has not been disclosed.

Proposed takeover valued at at least $67m

According to Medicalgorithmics’ regulatory disclosure, report 43/2026, the letter of intent establishes preliminary terms for the acquisition of 100% of the company’s outstanding equity securities.

The proposed aggregate consideration is worth at least $67 million.

That represents an indicative value for the equity securities to be acquired, rather than a confirmed cash purchase price or a final valuation agreed under a binding transaction.

The final amount, structure and settlement terms remain subject to negotiations.

Medicalgorithmics said its management sees potential commercial synergies between the two companies, which it considers the business rationale for exploring the acquisition.

However, the company has not identified the prospective buyer, disclosed its financial position or detailed the operational advantages expected from combining the businesses.

The American company is described only as a Nasdaq-listed healthcare business operating in medical technology.

There is therefore insufficient information to establish how its products, customers or operations might complement Medicalgorithmics.

Shareholders could receive American company shares

A significant feature of the proposed acquisition is its predominantly share-based structure.

Rather than purchasing Medicalgorithmics with a conventional cash payment, the American buyer would principally issue its own common shares as consideration.

The agreement also allows alternative equity instruments with equivalent economic characteristics where necessary to comply with regulatory requirements, tax legislation or Nasdaq listing rules.

Cash payments would be limited to specific circumstances, such as settling fractional share entitlements, meeting certain withholding-tax obligations or satisfying eligible claims by shareholders objecting to the transaction.

This structure would make the value ultimately received by Medicalgorithmics shareholders dependent on the terms of the share exchange and the market value of the American company’s securities.

The letter of intent provides for an agreed reference value for the buyer’s shares when calculating the maximum number that could be issued.

However, Medicalgorithmics explicitly states that this reference value would not guarantee the shares’ actual market price.

Under the current proposal, shares issued by the American buyer would represent voting power equivalent to no more than 49% of the voting rights existing in the buyer immediately before the new issuance.

This is a preliminary limit used in structuring the transaction, not a confirmed ownership percentage for Medicalgorithmics shareholders after completion.

The parties may revise the limit in their definitive agreement.

The exact number of shares, exchange ratio and eventual ownership structure have not been announced.

Additional €10m equity financing envisaged

The agreement also includes a substantial financing requirement.

Medicalgorithmics is expected to obtain at least €10 million in new equity funding before signing a definitive agreement or concurrently with that signing.

The company specifies that this must be non-debt financing.

The proceeds would be intended to increase Medicalgorithmics’ valuation and the aggregate consideration offered under the potential takeover.

However, the final financial effect would depend on the transaction’s negotiated terms and the restrictions governing the American buyer’s share issuance.

The source of the proposed financing has not been identified, and Medicalgorithmics has not announced the number, price or structure of any new shares or other equity instruments that might be issued.

That creates an additional consideration for existing investors.

If the company raises money through the issuance of new shares, existing shareholders could experience dilution of their percentage ownership unless they participate or otherwise maintain their proportional interests.

At the same time, an increase in equity capital could strengthen the company’s financial position ahead of the potential transaction.

The ultimate effect on shareholders cannot be established until the financing structure and acquisition terms become clearer.

The €10 million financing has not been confirmed as completed.

Thirty days of exclusive negotiations

The letter provides for a 30-day period of exclusive negotiations between Medicalgorithmics and the prospective American buyer.

This is one of the limited provisions that are legally binding.

Other binding clauses cover matters including costs, confidentiality, public communications, governing law and jurisdiction.

The proposed takeover itself is not binding.

The transaction would require the American buyer to complete a satisfactory due-diligence review of Medicalgorithmics.

Due diligence is the process through which a prospective acquirer examines a target company’s financial position, commercial agreements, technology, legal obligations and other material risks before deciding whether to proceed.

The parties would then need to negotiate and sign a definitive acquisition agreement.

Any transaction would also remain subject to the necessary corporate, regulatory and stock-exchange approvals.

The final legal structure has not been selected.

Options identified in the regulatory disclosure include a tender or exchange offer, a share exchange, a merger or another structure agreed by the parties.

Consequently, the announcement does not establish that a formal takeover offer has already been launched to Medicalgorithmics shareholders.

Nor does it confirm that the American buyer has committed to purchasing their shares.

Polish cardiac technology business expands internationally

Medicalgorithmics is a Warsaw-based company specialising in technology for cardiac diagnostics, including remote heart monitoring and software-assisted analysis of electrocardiogram (ECG) recordings.

Its products include PocketECG, a system used for remote monitoring of heart rhythm, and DeepRhythmAI, which applies artificial-intelligence technology to analysing ECG data.

The company has increasingly focused on integrating its diagnostic algorithms with healthcare systems and technology platforms operated by international partners.

The United States is particularly important to that strategy.

In August 2026, Medicalgorithmics announced an expanded agreement with a major American diagnostic customer, extending cooperation involving its DeepRhythmPlatform and DeepRhythmAI technology until July 2028.

Later that month, the company announced another US technology partnership, intended to integrate its cardiac analysis technology with an established remote-monitoring platform.

Those agreements demonstrate Medicalgorithmics’ existing commercial relationships in the American healthcare market.

However, there is no verified evidence linking either previously announced partner to the unidentified Nasdaq-listed company involved in the new takeover discussions.

The potential acquisition could provide a different route towards international expansion if the parties ultimately reach an agreement, but no specific integration or investment programme has been confirmed.

Shares rise following takeover announcement

Medicalgorithmics shares attracted increased investor interest following the regulatory announcement.

According to Investing.com’s market report on 19 October, the company’s shares were trading approximately 6.4% higher at PLN 26.75 during the morning session.

That was an intraday observation, not a verified closing price.

The market reaction illustrates investor interest in the possibility of an international acquisition.

However, the announced minimum transaction consideration should not be treated as a guaranteed amount that shareholders will receive.

The eventual economic value of any transaction would depend on the definitive agreement, the financing arrangements, the share-exchange mechanism and the market value of the American buyer’s securities.

A substantial change in any of those factors could alter the outcome for existing shareholders.

No definitive acquisition agreement yet

Medicalgorithmics’ announcement establishes that discussions over a potentially significant international transaction have begun, but several major questions remain unanswered.

The identity of the American buyer has not been disclosed, the required equity financing has not been completed, and the proposed acquisition’s final structure has not been agreed.

There is also no confirmed timetable for completing the transaction.

The 30-day exclusivity period provides a defined initial negotiation window, but it does not establish a deadline by which a takeover must occur.

The next material development would be an announcement identifying the investor, confirming new financing or establishing whether the parties have reached a definitive agreement.

For shareholders, the most important unresolved issues are the amount and terms of the proposed equity financing, the exchange ratio and the value of the American securities that could be received.

Until those questions are resolved, the $67 million proposal remains an indicative, largely non-binding framework for a possible acquisition rather than an agreed sale of the Polish company.
